1. Acceptance of Terms
By accessing or using NijaSwap ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and RadiantWaves Media Ltd ("we", "us", "our").
2. Eligibility
To use NijaSwap, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Provide accurate and complete registration information
- Not be prohibited from using the Platform under applicable laws
3. Account Registration
When you create an account, you must provide accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
We reserve the right to suspend or terminate accounts that provide false information or engage in fraudulent activity.
4. Buying on NijaSwap
As a buyer, you agree to:
- Pay the listed price plus any applicable fees
- Use only the Platform's escrow payment system for transactions
- Confirm receipt of items within 72 hours of delivery
- Not file fraudulent chargebacks or disputes
- Communicate respectfully with sellers
5. Selling on NijaSwap
As a seller, you agree to:
- Provide accurate descriptions and clear photos of items
- Ship items within 48 hours of receiving payment confirmation (local) or per the agreed contract schedule (B2B export)
- Use appropriate packaging to prevent damage
- Not list prohibited items (see Section 7)
- Respond to buyer inquiries within 24 hours
- Pay the applicable commission fees (5% of sale price for local; 3% for B2B export)
6. Escrow & Payments
All transactions on NijaSwap are processed through our escrow system:
- Local transactions: Buyers' payments are held securely until delivery is confirmed by the buyer
- B2B Export transactions: Payment follows the standard Nigerian export structure — 70–80% released against Bill of Lading (B/L) copy and 20–30% released on arrival & inspection. These terms are binding and stated in the Sales Contract from day one.
- Sellers receive payment to their NijaSwap Wallet after each milestone is verified and confirmed
- If a dispute arises, funds remain in escrow until resolution
- Payment processing fees (1.5% + ₦100 for local payments; 1.5% for B2B) are non-refundable
- Withdrawals from Wallet to bank accounts are processed within 24 hours
7. B2B Export Sales Contract
For all international B2B export transactions, a Sales Contract is generated automatically by NijaSwap and must be signed (digitally or physically) by both parties before shipment. The contract includes:
- Product specifications, quantity, and quality standards
- Agreed Incoterm (FOB, CIF, CFR, DDP, etc.)
- Payment terms: 70–80% against B/L copy; 20–30% on arrival & inspection
- Inspection period (typically 7–14 days after arrival at destination port)
- Shipping line, port of loading, and estimated port of discharge
- Force majeure and dispute resolution clauses
Neither party may unilaterally alter payment terms after contract signing without written agreement and NijaSwap trade desk approval.
8. Prohibited Items & Activities
The following are strictly prohibited on NijaSwap:
- Illegal goods, drugs, weapons, or counterfeit items
- Stolen property or items with unclear ownership
- Adult content, gambling services, or pyramid schemes
- Items that infringe on intellectual property rights
- Off-platform transactions or attempts to bypass escrow
- Harassment, hate speech, or discriminatory behavior
- Spam, scams, or fraudulent listings
- Any activity that violates applicable laws
9. Fees & Commissions
NijaSwap charges the following fees:
- Listing Fee: Free (no charge to list items)
- Local Selling Commission: 5% of the final sale price
- B2B Export Commission: 3% of the final contract value
- Payment Processing: 1.5% + ₦100 (local) or 1.5% (B2B export)
- Withdrawal Fee: ₦50 per withdrawal to Nigerian bank accounts
All fees are subject to change with 30 days' notice.
10. Dispute Resolution
In the event of a dispute between buyers and sellers:
- Both parties should first attempt to resolve the issue through direct communication
- If unresolved, either party may escalate to NijaSwap Support within 14 days
- For B2B export disputes, an independent inspection report (SGS, Bureau Veritas, or equivalent) may be required
- We will review evidence from both parties and make a binding decision
- Our decision is final, though either party may seek legal remedies
- Funds will remain in escrow until the dispute is resolved
11. Limitation of Liability
RadiantWaves Media Ltd is a marketplace platform connecting buyers and sellers. We are not a party to transactions between users. To the maximum extent permitted by law:
- We do not guarantee the quality, safety, or legality of items listed
- We are not liable for disputes between users, except as provided in our escrow service
- Our total liability shall not exceed the amount paid for the specific transaction in dispute
- We are not liable for indirect, incidental, or consequential damages
12. Intellectual Property
All content on NijaSwap, including logos, designs, text, and software, is the property of RadiantWaves Media Ltd and protected by copyright and trademark laws. Users may not copy, modify, or distribute Platform content without written permission.
13. Termination
We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason we deem appropriate. Upon termination:
- Your access to the Platform will be revoked
- Pending transactions will be completed or refunded as appropriate
- Any outstanding fees remain payable
14. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
15. Changes to Terms
We may modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
